Terms of Service
These Terms of Service ("Terms") govern your access to and use of the website and services operated by [COMPANY LEGAL NAME] ("CapitalBridge," "we," "us," or "our"). By accessing the site or submitting an application, you agree to these Terms. If you do not agree, do not use the Services.
1. About Our Services
CapitalBridge operates a loan marketplace that matches business owners with third-party lenders for products including merchant cash advances, business lines of credit, equipment financing, and commercial truck loans. CapitalBridge is not a lender. We do not make credit decisions, fund loans, or set the terms of any financial product. Any offers, approvals, rates, fees, and terms are determined solely by the lender and are subject to that lender's underwriting and its agreements with you.
2. Eligibility
You must be at least 18 years old, a legal owner or authorized representative of the business on whose behalf you are applying, and located in the United States. By using the Services, you represent that you meet these requirements and that all information you submit is truthful, accurate, and complete to the best of your knowledge.
3. Application Process
When you submit an application:
- You authorize CapitalBridge to forward the information you provide to one or more lenders in our network for the purpose of evaluating you for funding.
- You authorize those lenders to contact you regarding their offers using the contact information you provide.
- You understand that submitting an application does not guarantee an offer or funding.
- You understand that the lender — not CapitalBridge — is responsible for any credit inquiry, loan agreement, disbursement, servicing, or collection.
4. No Fees to Applicants
CapitalBridge does not charge applicants a fee to submit an application or be matched with lenders. We may receive compensation from lenders when an applicant we refer is funded. This compensation does not change the rates or fees a lender offers you.
5. Communications and Consent
By providing your contact information, you agree that CapitalBridge and its lender partners may contact you about your application and related products by email, telephone, and text message. Calls and texts may be made using automated technology. Your consent to receive autodialed calls or texts is not a condition of applying for or receiving any services. You may opt out of marketing communications at any time as described in our Privacy Policy. Standard message and data rates may apply.
6. Acceptable Use
You agree not to:
- Submit false, misleading, or fraudulent information.
- Use the Services on behalf of another person or business without authorization.
- Attempt to interfere with, probe, or compromise the security or integrity of the Services.
- Use any automated means (bots, scrapers) to access the Services other than publicly available search-engine crawlers.
- Use the Services for any unlawful purpose or in violation of these Terms.
We may suspend or terminate your access at any time for any reason, including suspected violations of these Terms.
7. Intellectual Property
The Services, including all text, graphics, logos, code, and design, are owned by CapitalBridge or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for the purpose of evaluating and applying for funding products. All other rights are reserved.
8. Third-Party Lenders and Disclaimers
Lenders in our network are independent third parties. We do not endorse any specific lender or product, and we make no representations about the accuracy, suitability, rates, terms, or quality of any lender's offerings. Any agreement you enter into with a lender is solely between you and that lender. CapitalBridge is not a party to that agreement and has no responsibility for its performance.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR TRADE USAGE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY APPLICATION WILL RESULT IN AN OFFER OR FUNDING.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPITALBRIDGE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow these limitations; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify and hold harmless CapitalBridge and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) your violation of these Terms, (c) information you submit that is false or infringes a third party's rights, or (d) any agreement you enter into with a lender.
12. Governing Law
These Terms are governed by the laws of the State of [GOVERNING LAW STATE], without regard to its conflict-of-law principles. Subject to Section 13, the state and federal courts located in [GOVERNING LAW STATE] have exclusive jurisdiction over any disputes not subject to arbitration.
13. Arbitration and Class-Action Waiver
Please read this section carefully — it affects your legal rights.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will take place in [GOVERNING LAW STATE], or by video or telephone conference at the arbitrator's discretion. The arbitrator's decision will be final and enforceable in any court of competent jurisdiction.
You and CapitalBridge waive any right to participate in a class action, collective action, or representative proceeding. Disputes must be brought individually. If a court finds the class-action waiver unenforceable as to any claim, that claim must be severed and litigated in court; the remaining claims will proceed in arbitration.
30-day opt-out. You may opt out of this arbitration agreement by emailing [SUPPORT EMAIL] within 30 days of first accepting these Terms with the subject line "Arbitration Opt-Out" and including your full name, the email address you used, and a clear statement that you wish to opt out. Opting out does not affect any other provision of these Terms.
This Section 13 does not apply to small-claims-court actions brought individually, or to claims for injunctive relief related to intellectual property.
14. Changes to These Terms
We may update these Terms from time to time. Changes take effect when posted. Your continued use of the Services after changes are posted means you accept the updated Terms.
15. Miscellaneous
These Terms are the entire agreement between you and CapitalBridge regarding the Services. If any provision is held unenforceable, the remainder will remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
[COMPANY LEGAL NAME] is organized under the laws of the State of [STATE OF INCORPORATION] with its principal place of business at [MAILING ADDRESS]. Questions about these Terms: [SUPPORT EMAIL].
